Limited Product Warranty

1. COVERAGE AND WARRANTY PERIOD

PermaTherm, Inc. (“PermaTherm”) warrants to the original purchaser (“Customer”) that its insulated metal panel products (the “Products”) will be free from defects in materials and manufacturing workmanship, and will maintain structural and thermal integrity, under normal use and service for two (2) years from the date of shipment (the “Warranty Period”).

This warranty applies only to Products that have been properly stored, handled, installed, and maintained in strict accordance with PermaTherm’s published guidelines and accepted industry standards.

2. EXCLUSIVE REMEDY

If a Product fails to conform to this warranty during the Warranty Period, PermaTherm’s sole obligation, and Customer’s exclusive remedy, shall be, at PermaTherm’s option:

• repair of the affected Product;
• delivery of a replacement Product; or
• refund of the original purchase price paid for the affected Product.

Any repaired or replacement Product is warranted only for the unexpired portion of the original Warranty Period. PermaTherm’s total aggregate liability shall not exceed the original purchase price paid for the defective Product.

3. EXCLUSIONS FROM COVERAGE

This warranty does not cover damage, failure, or conditions resulting from:

• improper handling, storage, installation, erection, modification, cutting, or finishing;
• structural movement, foundation or framing deficiencies, or building design;
• contact with dissimilar or corrosive materials, standing or ponding water, or improper drainage;
• impact, abrasion, abuse, misuse, neglect, lack of maintenance, or unauthorized repair;
• alterations after shipment, including field painting, coatings, penetrations, or attachments not made in accordance with PermaTherm’s written instructions;
• acts of God or force majeure events, including wind, hail, tornado, hurricane, flood, fire, earthquake, or other extraordinary weather or environmental conditions; or
• installer, contractor, or third-party workmanship or design.

No warranty is provided for accessories, fasteners, sealants, coatings, or components not supplied by PermaTherm. Such items are subject solely to the warranties, if any, of their respective manufacturers.

4. OIL CANNING AND COSMETIC CONDITIONS

Oil canning, waviness, minor distortion, and other visual undulations are inherent characteristics of light-gauge metal panels and are not defects. These conditions may result from panel size, color, finish type, thermal movement, structural alignment, fastener placement, or installation practices, and do not impair structural or thermal performance.

Minor cosmetic conditions, including surface irregularities, scratches, or blemishes that do not affect structural or thermal performance, are excluded from this warranty.

5. MINOR SURFACE BLISTERING

Minor surface blistering, pinholing, or irregularities caused by thermal expansion or contraction of entrapped gases or blowing agents are normal characteristics of foam-core panel manufacture. These conditions are cosmetic only and are not defects or grounds for rejection or warranty claim.

6. VISUAL ACCEPTANCE STANDARD

Products shall be evaluated for visual acceptability under normal lighting conditions from a distance of not less than eight (8) feet, or the intended installed viewing distance, whichever is greater. Minor variations in color, gloss, texture, or finish consistency that are normal to coil-coated metals and that do not materially affect structural or thermal performance are not defects.

7. FREIGHT, RISK OF LOSS, AND DELIVERY INSPECTION

When freight is arranged by PermaTherm, PermaTherm bears responsibility for transit damage claims in accordance with the applicable shipping terms stated in the sales documentation.

When freight is arranged by Customer or its designated carrier, title and risk of loss pass to Customer upon loading at PermaTherm’s shipping point. Customer is solely responsible for all transit-related claims.

Customer must inspect Products upon delivery and note any visible shipping damage or shortages on the carrier’s delivery receipt at the time of delivery. Failure to do so may impair Customer’s ability to recover against the carrier.

8. CLAIMS PROCEDURE

To submit a warranty claim, Customer must:

• provide written notice to PermaTherm describing the alleged defect in reasonable detail within thirty (30) days after discovery, and in any event within the Warranty Period; and
• provide PermaTherm reasonable access to inspect the Products in place before any repair, removal, alteration, or replacement.

No claim will be considered if Products have been altered, removed, or repaired prior to PermaTherm’s inspection without prior written consent from PermaTherm.

9. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PERMATHERM SHALL NOT BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LABOR OR EQUIPMENT COSTS; COSTS OF REMOVAL, REINSTALLATION, OR ACCESS; PROJECT DELAYS; LOSS OF USE; LOSS OF PROFITS, REVENUE, OR BUSINESS; OR DAMAGE TO OR LOSS OF ANY BUILDING, CONTENTS, OR OTHER PROPERTY, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF PERMATHERM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. DISCLAIMER OF OTHER WARRANTIES

This Limited Product Warranty is the sole and exclusive warranty provided by PermaTherm with respect to the Products. Except as expressly set forth herein, PermaTherm makes no other warranties, express or implied, and specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or any warranty arising from course of dealing, usage, or trade practice, to the maximum extent permitted by law.

11. GOVERNING LAW AND GENERAL PROVISIONS

This warranty is governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict-of-laws rules.

No agent, distributor, or contractor has authority to modify or extend this warranty. Any modification must be in a written instrument signed by an authorized officer of PermaTherm.

In the event of a conflict between this warranty and any other statement or document relating to the Products, this Limited Product Warranty controls.

1.4 Performance Requirements: Design and construct panels to meet requirements as indicated.

• Structural and Wind load Tests:
  • Design panel composition to resist wind load mandated by code, with deflection limit of L/240.
  • No permanent damage to panels or connections when subjected to 1.5 times the design wind pressures for both inward and outward.
• Thermal Performance:
  • Panels shall produce no post manufacturing off gassing which could result in loss of future thermal resistance and must have a Long Term R- Value (LTR).
• Fire:
  • Surface Burning Characteristics: Insulated core shall have been tested in accordance with ASTM E 84 and UL 723, NFPA 255 for surface burning characteristics. The core shall have a maximum flame spread of 25 and a smoke developed rating of less than 450.

1.6 QUALITY ASSURANCE

• Manufacturer’s Qualifications: Company specializing in manufacturing of all required aspects of insulated metal panel production.
  • No less than 10 years’ experience in the actual production of specified products.
  • Third party certification of Quality Control program and materials utilized, in compliance with rigid factory guidelines, which includes quarterly unannounced inspections by independent testing laboratories, capable of providing reports directly to code authority.
  • Successfully completed not less than 100 comparable scale projects using this system.
  • Company specializing in manufacturing factory continuous insulated metal panels with a minimum documented experience of ten years.
  • Company specializing in on site manufacturing rigid foam insulation for the purpose of insulated metal panels with a minimum documented experience of ten years.
• Installer’s Qualifications: Experienced in installation of system similar in complexity for specific requirements.
  • Installer shall be responsible for installation of panel and support framing as specified in this section to comply with the following:
    • Wind load engineering to comply with code requirements.
  • Acceptable to or licensed by manufacturer.
  • Not less than 3 years experience with systems.
  • Successfully completed not less than 5 comparable scale projects using this system.
• Product Requirements:
  • Metal members (prone to rust) and wood or wood by-products (prone to moisture absorption and rot), shall not be permitted within the panel connection system.
  • Insulated panels, related accessories, and construction details shall be in accordance with the following regulatory agency, where required:
    • United States Department of Agriculture (USDA)
    • Canadian Food Inspection Agency (CFIA)
  • Wall and Ceiling panel should meet the standards per (ASTM) C578.
  • Panel manufacturer shall have third party inspection of panel manufacturing process on a quarterly basis.
• Mock-Up: Provide a mock-up for evaluation of surface preparation techniques and application workmanship.
  • Finish areas designated by architect.
  • Do not proceed with remaining work until workmanship, color and sheen are approved by architect.
  • Refinish mock-up area as required to produce acceptable work.

1.7 DELIVERY, STORAGE, AND HANDLING

• Store products in per manufacturer’s recommendation until ready for installation.
• Store products off the ground, with panels sloped for drainage and covered to protect factory finishes from damage.
• Store and dispose of solvent-based materials, and materials used with solvent-based materials, in accordance with requirements of local authorities having jurisdiction.

1.8 PROJECT CONDITIONS

• Maintain environmental conditions (temperature, humidity, and ventilation) within limits recommended by manufacturer for optimum results. Do not install products under environmental conditions outside manufacturer’s absolute limits.

1.9 WARRANTY

• Provide manufacturer’s one year limited warranty that panels are free from defects in materials and workmanship, beginning from the date of shipment of panels, but excluding coil coatings (paint finishes) covered under a separate warranty. Warranty does not include interior painted surface of panels.
• Provide coil coater’s written warranty on paint finish for adhesion to the substrate.
• Provide exterior paint manufacturers written limited 25 year warranty for chalking and color fade of exterior paint finishes only.

2.2 Insulated Metal Wall Panels

• Panel General Requirements: Roll-formed exterior and interior steel sheet faces laminated to poly Iso foam core. Poly Iso foam core shall not contain CFC’s, HCFC’s or HFC’s. Insulated wall and ceiling panels shall be supplied in widths of 45.5 inches (+/- 1/8”) or 43” (+/-1/8”) Panel lengths shall be factory cut to meet required site dimensions.

  • Interior wall and ceiling panels shall be clad on all exposed areas with 26 gauge (0.455 mm) pre-painted G90 galvanized steel or AZ-50 Galvalume (USDA accepted).
• Exterior Face
  • Exterior insulated panels shall be clad on the weather-exposed side with 26 gauge (0.455 mm) pre-painted G90 galvanized steel or AZ-50 Galvalume (USDA accepted).
• Lamination and Joint fabrication
  • Metal skins shall be continuous line Poly Iso insulation. Insulated panels shall be manufactured individually laminated, insuring uniform size and composition.
  • Panel edges shall be fabricated with a tongue-in groove type Cold storage panel connection system or Hidden fastener system.
  • Slip joints shall be sealed internally by running continuous beads of FSI-96 butyl caulking (or approved alternate) along the warm inside edge of the female side of the panel joints.
  • Slip joints shall be externally caulked for USDA inspected areas only, or as specified, with white silicone (or approved alternate).
• Foam Core:
  • • Wall panels and ceiling panels shall consist of poly Iso 2.25 lbs insulation.
    • Finished panels shall have an approximate R-Value of 8 per inch at 40⁰ F (4.44⁰ C) Insulation thickness of panels shall be adjusted in accordance with design R-value requirements.
    • Insulation shall not contain CFC’s or HCFC’s, or other expanding

  agents, resulting in zero ODP and zero VOC production.

• Exterior finish: USDA approved Siliconized polyester paint System
• Interior finish: USDA approved Siliconized polyester paint System
• Flashing and Trim: Brake-formed sheet metal in the same thickness and finish to match the panels.
• Fasteners: Clips, anchoring devices, fasteners, and accessories for installation of panel system as recommended by panel manufacturer for the system specified.
• Sealant: Sealant as recommended by panel manufacturer.

Part 3: INSTALLATION AND EXECUTION

3.1 EXAMINATION

• Verification of Conditions: Examine areas and conditions under which work is to be performed and identify conditions detrimental to proper or timely completion.
  • Panel installer to verify that structural steel supports for wall panels are within tolerances in the AISC Code of Standard Practice, Section 7 and supplement modification controlling Section 7.11.3, adjustable items. Limit maximum deviation of steel alignment to plus or minus 3/16 inch (4mm) from the control with a 1/8 inch (3 mm) maximum change in deviation for any member for any 10 feet (3 m) length of panel.
  • Do not proceed until unsatisfactory conditions have been corrected.
• If support system preparation is the responsibility of another installer, notify architect of unsatisfactory preparation before proceeding.

3.2 INSTALLATION

• Install in accordance with manufacturer’s instructions and industry
  standards.
• Fasteners according to manufacturer’s recommendations and verified as suitable by project engineer or installer.
• Field fabrication of corner panel connections shall be butted or mitered, flashed, and finished by installation crew on-site.
• Form panel shape as indicated on Drawings, accurate in size, square, and free from distortion or defects.
• Install flashing and trim true and in proper alignment.
• Install sealants where indicated to clean dry surfaces only without skips or voids, to ensure weather tightness and integrity of the vapor barrier.

3.3 FIELD QUALITY CONTROL

• Installer shall make periodic inspections and issue report to architect regarding compliance with manufacturer’s installation recommendations developed for the project.

3.4 ADJUSTING AND CLEANING

• Repair damage caused during construction.
  • Touch-up mars, scratches, and cut edges to match original finish.
  • If repairs cannot be made to comply with architect’s requirements, remove damage and install new materials.
• Replace damaged panels and other components of work, which cannot be repaired by finish touch-up or similar minor repair.
• Wipe finished surfaces clean of any filings caused by drilling or cutting to prevent rust staining.
